HRVruddhi Partner Program Terms & Conditions
These Terms govern participation in the HRVruddhi Partner Program. By applying, being approved, registering opportunities or using the Partner Portal, you agree to these Terms. Participation does not create a legal partnership, employment, agency, franchise, joint venture or authority to bind HRVruddhi.
1. Program purpose and eligibility
The Program is intended for eligible HR consultants, payroll professionals, chartered accountants/accounting firms, labour-law and compliance consultants, recruitment firms, HR agencies, technology/system integrators, freelancers and other approved business advisers. HRVruddhi may approve, reject, suspend or request additional verification for an application based on fit, conflicts, compliance, reputation, capability or risk.
2. Independent relationship
You operate as an independent business. You are responsible for your own personnel, licences, registrations, professional advice, expenses, taxes and statutory obligations. You must not represent yourself as an employee, agent or authorised signatory of HRVruddhi and may not make commitments, warranties, discounts or contractual promises on HRVruddhi’s behalf unless expressly authorised in writing.
3. Partner tiers and benefits
Partner tiers may include Registered, Silver, Gold and Platinum. Indicative commission rates and qualification thresholds shown in the Partner Portal or Partner Program page apply subject to current Program rules, collected revenue, customer eligibility and account standing. HRVruddhi may revise tiers, benefits, thresholds and enablement resources prospectively.
4. Lead and opportunity registration
Partners should register genuine opportunities through the Partner Portal with accurate customer, workforce, location, product/service, estimated value and expected-close information. A registered opportunity may receive the displayed protection period (currently 90 days) after HRVruddhi accepts it. Protection may be renewed where meaningful sales activity is demonstrated. Registration alone does not establish ownership or commission entitlement.
5. Duplicate and conflict rules
Existing HRVruddhi customers, previously active opportunities, self-referrals, fabricated leads and duplicate claims are not eligible unless HRVruddhi expressly approves otherwise. Where multiple sources claim the same opportunity, HRVruddhi may consider the first valid registered source, documented activity, prior relationship and fairness. HRVruddhi’s documented determination will govern Program attribution.
6. Commission eligibility
Commission is calculated only on eligible subscription revenue actually received and retained by HRVruddhi, according to the Partner’s approved tier and applicable commission period. Unless separately contracted, a Partner’s own consulting, recruitment, payroll-processing or other professional-service fees remain the Partner’s business and are not commissionable HRVruddhi revenue.
7. Payment, taxes, refunds and adjustments
Commission becomes payable only after applicable validation and the customer’s payment has cleared. Unpaid, reversed, cancelled, fraudulent, disputed, credited or refunded amounts are not eligible and may be adjusted against future commission. Applicable TDS, GST, withholding or other tax treatment will be handled according to law and the Partner remains responsible for its own tax filings and invoices where required. Payout timing, minimum thresholds and documentation requirements may be stated in the Partner Portal.
8. Customer relationship and conduct
Partners must act professionally, provide accurate information, avoid misleading sales practices and protect customer confidentiality. Partners must not make false product claims, promise unavailable functionality, misstate pricing, offer unauthorised discounts, interfere with another Partner’s protected opportunity or use coercive, deceptive or unlawful practices.
9. Brand and intellectual property
HRVruddhi names, logos, product materials, demonstrations and sales assets remain HRVruddhi intellectual property. Approved Partners receive a limited, revocable, non-exclusive right to use authorised materials solely for Program activities. Materials may not be altered in a misleading manner, sublicensed, registered as a domain/trademark or used after termination.
10. Confidentiality and data protection
Each party must protect non-public commercial, technical, customer, pricing, product and personal information received through the Program and use it only for legitimate Program purposes. Partners must use reasonable security safeguards, restrict access to authorised persons and promptly report suspected loss, unauthorised access or disclosure. Personal data must be handled in accordance with applicable law and the HRVruddhi Privacy Policy.
11. Anti-bribery and legal compliance
Partners must comply with applicable anti-bribery, anti-corruption, competition, tax, employment, privacy, electronic communication and other laws. No improper payment, kickback, gift or benefit may be offered to influence a commercial decision.
12. Training, certification and support
Access to training, certifications, marketing resources, demonstrations, leads, dedicated support or partner management may depend on tier, availability and Program standing. Certification does not authorise a Partner to provide legal, tax or statutory advice on HRVruddhi’s behalf.
13. Suspension and termination
Either party may stop participating subject to outstanding obligations. HRVruddhi may immediately suspend or terminate access for fraud, misuse, security risk, customer harm, material breach, non-compliance, misrepresentation or abuse of Program benefits. On termination, brand use and Portal access must stop. Properly earned commission on eligible collected revenue before termination may remain payable subject to these Terms; fraudulent or disqualified transactions are excluded.
14. Disclaimers and limitation
The Program does not guarantee leads, revenue, customer conversion, territory exclusivity or minimum earnings. To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special or consequential losses arising solely from Program participation. Nothing here excludes liability that cannot lawfully be excluded.
15. Indemnity
A Partner is responsible for losses, claims or costs arising from its unauthorised representations, unlawful conduct, breach of confidentiality/data obligations, infringement or material breach of these Terms, subject to applicable law and any separately executed agreement.
16. Changes to the Program
HRVruddhi may update these Terms, commission structures or Program rules. Material changes will be communicated through reasonable means and, where appropriate, renewed acceptance may be requested. Changes will not retroactively remove commission already validly earned except where an underlying transaction is refunded, fraudulent or otherwise ineligible.
17. Electronic records and acceptance
Electronic applications, checkbox acceptance, Portal records, emails and system logs may be retained as evidence of Program activity and acceptance. HRVruddhi may record the Terms version and acceptance date/time against the Partner application.
18. Governing law and disputes
These Terms are governed by the laws of India. The parties should first attempt good-faith resolution of a dispute. Subject to applicable law and any separately signed agreement, courts having jurisdiction in Mumbai, Maharashtra will have jurisdiction.
